Terms of Service

These Terms of Service ("Terms") govern your use of the websites, applications and software products operated by Wayflare OÜ ("Wayflare", "we", "us", "our"). By creating an account or using a paid subscription, you agree to these Terms.
If you do not agree, do not use the Services.
1. Who we are

Wayflare OÜ is the contracting party and the merchant of record for purchases made through our Services. Payments are processed by Stripe Payments Estonia OÜ on our behalf; the receipt and credit-card statement will identify Wayflare OÜ (or a Stripe billing descriptor that references Wayflare).
This email address (info@wayflare.eu) also serves as our single point of contact for users and authorities under the EU Digital Services Act, Articles 11 and 12. We accept communications in English.
2. Our products
These Terms cover all of Wayflare's software products and websites, which we call the "Services". The current product list is:
- Cobwebs (cobwebs.app) — a day-counter web app, sold as an annual subscription (€14/year as of the effective date above).
- Nudgio (nudgio.life) — a planning app for students.
We may add new products or change product descriptions and pricing. We will publish the current list and current prices on the relevant product website. Each product may have a short product-specific notice (for example, a feature description page) that supplements these Terms.
3. Eligibility
You must be at least 13 years old to use the Services. If you are between 13 and the digital age of consent in your country (16 in some EU member states), you also need authorisation from a parent or legal guardian. By creating an account, you confirm that you meet these requirements.
If you use the Services on behalf of an organisation, you confirm that you have authority to bind that organisation, and "you" includes that organisation.
4. Accounts
You are responsible for the activity on your account and for keeping your credentials secure. Tell us immediately at info@wayflare.eu if you think your account has been compromised. Do not share your account, transfer it, or sell it.
5. Subscriptions, billing and renewals
Most paid Services are sold as annual subscriptions that renew automatically until cancelled.
- Price. The current price is shown on the product website at checkout. Prices are inclusive of VAT where shown; otherwise VAT may be added at checkout based on your billing country.
- Payment. Payments are processed by Stripe. By subscribing, you authorise us (via Stripe) to charge your payment method for the subscription fee and any applicable taxes when you sign up and again at each renewal.
- Auto-renewal. Annual subscriptions renew automatically at the end of each subscription period at the then-current price for that plan, unless you cancel before the renewal date.
- Renewal reminders. Where required by law, we will email you a reminder before each renewal.
- Failed payments. If a renewal payment fails, we may retry the payment, downgrade the account to a free tier where one exists, or suspend access until the issue is resolved.
6. Cancellation and refunds
You can cancel your subscription at any time from inside the product, or by emailing info@wayflare.eu. Cancellation takes effect at the end of the current paid period, and you will not be charged again.
We offer a 14-day money-back guarantee on the first purchase of any subscription. Annual renewals after year one are non-refundable but cancellable at any time for the next period. The full policy is set out in our Refund and Cancellation Policy and forms part of these Terms.
This voluntary refund policy is in addition to any statutory consumer rights you have, including (for EU/EEA consumers) the rights under Directive 2011/83/EU on consumer rights. Nothing in these Terms reduces those rights.
7. Acceptable use
You agree not to:
- use the Services for anything illegal or to infringe anyone else's rights;
- attempt to break, probe, reverse-engineer, or circumvent the security or rate limits of the Services, except to the extent expressly permitted by mandatory law;
- send malware, spam, or content that is unlawful, harassing, defamatory, or contains personal data of others without a lawful basis;
- use automated tools to scrape or extract data from the Services beyond ordinary, documented API use;
- resell, sublicense, or commercially redistribute the Services without our written permission.
We may suspend or terminate your account if you breach these rules.
8. Intellectual property
The Services, including the software, design, text, graphics and trademarks "Wayflare", "Cobwebs" and "Nudgio", are owned by Wayflare OÜ or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Services for their intended purpose during your subscription.
You keep all rights in the content you create or upload ("Your Content"). You grant us the limited licence to host, store, display and process Your Content as needed to operate the Services for you.
9. Privacy
How we handle personal data is described in our Privacy Policy. The Privacy Policy forms part of these Terms.
10. Service availability and changes
We aim to keep the Services running reliably but we do not guarantee uninterrupted availability. We may modify, add, or discontinue features. If we discontinue a paid product or materially reduce its features in a way that disadvantages you, we will give you reasonable advance notice and offer a pro-rata refund of the remaining unused subscription period for that product.
11. Warranties and disclaimers
We provide the Services with reasonable skill and care. To the extent permitted by law, the Services are provided "as is" and "as available", and we do not give any other warranties, whether express, implied, or statutory.
This section does not exclude or limit any rights you have as a consumer under mandatory law, including under the Estonian Law of Obligations Act (Võlaõigusseadus), the Estonian Consumer Protection Act, Directive 2011/83/EU, Directive (EU) 2019/770 on contracts for the supply of digital content and digital services, and any equivalent statutory rights in your country.
12. Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to the Services is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) one hundred euros (€100).
We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, even if we were told they might happen.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under mandatory law, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or under the Estonian Law of Obligations Act and EU consumer law where they apply.
13. Termination
You can stop using the Services and close your account at any time. We can suspend or terminate your account if you breach these Terms, if we are required to do so by law, or if continued provision of the Services to you would expose Wayflare to material legal or financial risk. Where reasonable, we will warn you first.
On termination, your licence to use the Services ends and we will delete your account data in accordance with our Privacy Policy. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law, dispute resolution) survive.
14. Governing law and disputes
These Terms are governed by Estonian law, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods.
The courts of Estonia (Harju County Court / Harju Maakohus, Tallinn) have non-exclusive jurisdiction over disputes arising out of or relating to these Terms.
Consumer carve-out. If you are a consumer resident in the European Union or the European Economic Area, this Section does not deprive you of the protection of mandatory provisions of the law of your country of residence (Article 6 of Regulation (EC) No 593/2008, "Rome I"), and you may bring proceedings against us in the courts of your country of residence (Articles 17–18 of Regulation (EU) No 1215/2012, "Brussels Ia"). Equivalent protections in other jurisdictions also apply where they are mandatory.
For consumers in the EU and EEA, the European Commission maintains a list of national consumer dispute resolution bodies at https://consumer-redress.ec.europa.eu/dispute-resolution-bodies. (The previous EU-wide ODR platform was discontinued on 20 July 2025 under Regulation (EU) 2024/3228.) We are not currently obliged to participate in any out-of-court dispute resolution body, but we are happy to try to resolve issues by email first.
15. Changes to these Terms
We may update these Terms. If we make material changes, we will update the "Last updated" date above and notify you (for example, by email or in-product notice) before the changes take effect for you. Continued use after the effective date means you accept the updated Terms. If you do not accept, you may close your account; if you have a paid subscription, we will refund the unused portion of the current period.
16. Miscellaneous
- Entire agreement. These Terms, the Privacy Policy and the Refund and Cancellation Policy are the entire agreement between you and Wayflare for the Services.
- Severability. If any provision is unenforceable, the rest stays in force.
- No waiver. If we don't enforce a right, that does not waive it.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets, on notice to you.
- Notices. Notices to us go to info@wayflare.eu. Notices to you go to the email on your account.
- Language. These Terms are written in English. If we publish a translation, the English version controls in case of conflict.
